Welcome to Whelan Digital Pte. Ltd. ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By engaging Whelan Digital Pte. Ltd. for B2B marketing and newsletter services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.
2. Services
Whelan Digital Pte. Ltd. provides B2B marketing services, including but not limited to the creation, management, and optimization of newsletter funnels. The specific scope of services, deliverables, timelines, and fees will be detailed in a separate Statement of Work (SOW) or service agreement signed by both parties.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for us to perform the services.
- Timely review and approve deliverables as required.
- Ensure you have the right to use any materials, logos, or content you provide to us.
- Pay all fees in accordance with the agreed-upon payment terms.
4. Payment Terms
All fees for services are outlined in the specific service agreement or invoice. Payments are processed securely via Stripe. Invoices are due upon receipt unless otherwise specified in writing. Late payments may result in the suspension of services.
5. Intellectual Property
Upon full payment of all fees due, the client will own the final deliverables (e.g., newsletter content, campaign assets) created specifically for them. Whelan Digital Pte. Ltd. retains ownership of all underlying methodologies, frameworks, templates, and pre-existing materials used in creating the deliverables.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This includes business strategies, customer lists, financial information, and technical data.
7. Limitation of Liability
To the maximum extent permitted by law, Whelan Digital Pte. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to these Terms or our services.
8. Termination
Either party may terminate the engagement in accordance with the terms specified in the individual service agreement. Upon termination, the client remains responsible for payment of all services rendered up to the termination date.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
